The agreement between you and Khepri.

These terms govern your use of kheprifund.com and the Khepri application, operated by Khepri LLC ("Khepri", "we", "us"). By creating an account or using the service you accept them. If you do not accept them, do not use the service.

What Khepri is today

Khepri currently provides a paper-trading sandbox and research tools. Trading in the sandbox is simulated: orders are not sent to a market, no real securities are bought or sold, and no real money changes hands. Live self-directed brokerage and managed investing are planned and are not available today. We describe planned features so you can judge where the product is going, not as a commitment to deliver them on any schedule.

Eligibility

You must be at least 18 years old and able to enter a binding contract to use Khepri. You agree that the information you give us when registering, including your name and date of birth, is accurate and that you will keep it current.

Your account

You are responsible for your password and for activity that happens under your account. Use a strong, unique password, keep it private, and tell us promptly at admin@kheprifund.com if you believe your account has been accessed without your permission. One person may hold one account unless we agree otherwise in writing.

Khepri is not investment advice

Nothing Khepri shows you is investment, legal, tax, or accounting advice, and nothing on the service is a recommendation to buy or sell any security. Research output, models, scores, rankings, and simulated strategy behavior are information, not advice, and they may be wrong. You are responsible for your own decisions, and you should consider getting advice from a qualified professional before acting.

Khepri is not a broker-dealer and is not a registered investment adviser.

Simulated results

Results produced in the sandbox, in research features, and in any backtest or model output are hypothetical. Hypothetical results have inherent limitations: they are produced with the benefit of hindsight, they do not involve real capital at risk, and they cannot account for every cost, delay, or market condition that affects real trading. Hypothetical results do not predict future performance. Investing involves risk, including the possible loss of the money you invest.

Market data

Market data shown in Khepri comes from third parties. It may be delayed, incomplete, or inaccurate, and we do not warrant it. Do not rely on it as the sole basis for a decision.

Your brokerage provider

Brokerage functionality is provided by Alpaca. During registration you accept Alpaca's agreements directly, and those agreements govern your relationship with Alpaca. Where they conflict with these terms in respect of brokerage services, Alpaca's agreements control. We are not responsible for the acts or omissions of the provider.

Acceptable use

You agree not to:

• Use the service for anything unlawful, or to manipulate or abuse any market.
• Try to gain access to another user's account, or to systems or data you are not authorized to reach.
• Probe, scan, overload, or disrupt the service or the infrastructure behind it.
• Scrape or bulk-extract data from the service, or redistribute or resell it.
• Copy, reverse engineer, or create derivative works from the service, except where the law says you may.

Our content

The Khepri name, logo, software, research output, and site content belong to us or to our licensors. We grant you a personal, non-transferable, revocable licence to use the service for your own purposes while your account is open. Everything not expressly granted is reserved.

Availability and changes

We may change, suspend, or discontinue any part of the service, and we may impose limits on features. The service is under active development and we do not promise uninterrupted or error-free operation. We will try to give notice of material changes where it is reasonable to do so.

Disclaimer of warranties

To the fullest extent the law allows, the service is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Limitation of liability

To the fullest extent the law allows, Khepri and its members, officers, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunity, lost data, or trading losses, arising out of or relating to your use of the service. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us for the service in the twelve months before the claim, or one hundred United States dollars. Some jurisdictions do not allow these limits, and where that is so, these limits apply only to the extent permitted.

Indemnity

You agree to indemnify and hold Khepri harmless from claims, losses, and reasonable legal costs arising from your misuse of the service or your breach of these terms.

Termination

You may close your account at any time by writing to admin@kheprifund.com. We may suspend or close an account that breaches these terms, that we are required to close, or that poses a risk to the service or other users. Provisions that by their nature should survive termination, including the disclaimers, the limitation of liability, and the indemnity, survive it.

Changes to these terms

We may update these terms. When we do we will change the date at the top of this page, and if a change materially affects your rights we will tell account holders directly. Continuing to use the service after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. You and Khepri agree to the exclusive jurisdiction of the courts located there for any dispute these terms do not resolve.
